Terms of Service

These Terms govern your use of the XHMAG website and any commercial engagement with Hefei Xinhui Magnet Co., Ltd. Please read them carefully before proceeding.

Agreement to Terms

By accessing this website or entering into any commercial transaction with Hefei Xinhui Magnet Co., Ltd. ("XHMAG," "we," "us," or "our"), you ("User," "Buyer," or "Partner") agree to be bound by these Terms of Service. If you do not agree to these Terms, you must discontinue use of this website and refrain from entering into any commercial engagement with XHMAG.

Definitions

"Company" / "XHMAG"
Hefei Xinhui Magnet Co., Ltd., registered in Hefei City, Anhui Province, China, and all its authorized representatives.
"Website"
The XHMAG website and all associated subdomains, pages, and digital assets operated by the Company.
"User"
Any individual or legal entity accessing the Website, submitting inquiries, or engaging in commercial transactions with XHMAG.
"Products"
Sintered NdFeB permanent magnets and related components manufactured and supplied by XHMAG.
"Order"
A confirmed purchase order issued by the Buyer and accepted in writing by XHMAG, including all attached specifications and agreed commercial terms.
"Specifications"
Technical parameters, dimensional tolerances, grade designations, coating requirements, and magnetization directions agreed in writing prior to Order confirmation.
"Confidential Information"
Any non-public technical, commercial, or operational information disclosed by either party in connection with a business relationship, including but not limited to pricing, formulations, and customer data.

Website Use

2.1 Permitted Use

The Website is provided for lawful commercial and informational purposes. Users are permitted to:

  • Browse product information, technical specifications, and company documentation.
  • Submit inquiries and quotation requests through the designated contact forms.
  • Download publicly available technical documents, datasheets, and certification copies for internal evaluation purposes.

2.2 Prohibited Conduct

Users must not:

  • Reproduce, redistribute, or commercially exploit any Website content without prior written consent from XHMAG.
  • Attempt to gain unauthorized access to any system, database, or restricted area of the Website.
  • Submit false, misleading, or fraudulent information through any inquiry or contact form.
  • Use automated tools, scrapers, or bots to extract data from the Website without written authorization.
  • Engage in any activity that disrupts, damages, or impairs the Website's functionality or availability.

2.3 Content Accuracy

Technical data, grade specifications, and product information published on the Website are provided for reference purposes. XHMAG makes reasonable efforts to maintain accuracy but does not warrant that all information is current, complete, or error-free. Confirmed Specifications for any Order are those agreed in writing between the parties and supersede any general Website content.

2.4 Availability

XHMAG does not guarantee uninterrupted access to the Website. The Company reserves the right to modify, suspend, or discontinue any part of the Website at any time without prior notice. XHMAG shall not be liable for any loss or inconvenience resulting from Website unavailability.

Procurement Conditions

3.1 Quotation and Order Formation

All quotations issued by XHMAG are non-binding until a formal Order is confirmed in writing by both parties. A binding contract is formed only upon XHMAG's written Order acknowledgment. Quotations are valid for the period stated therein; where no period is stated, quotations expire after 30 calendar days.

Lead Time: 25-30 working days after deposit

3.2 Specifications and Technical Approval

The Buyer is responsible for providing complete and accurate Specifications prior to Order confirmation. XHMAG will manufacture Products in accordance with the agreed Specifications. Any modification to Specifications after Order confirmation requires written agreement from both parties and may affect lead time and pricing. XHMAG's grade recommendations are advisory; the Buyer retains responsibility for validating suitability for the intended application.

3.3 Payment Terms

Unless otherwise agreed in writing, the following payment terms apply:

Production commences upon receipt of the deposit. XHMAG reserves the right to withhold shipment until full payment is confirmed. Late payment may result in Order suspension and may incur interest charges at the rate of 1.5% per month on overdue amounts.

3.4 Pricing and Price Validity

Quoted prices are fixed for the validity period stated in the quotation. XHMAG will not apply rare earth material price adjustments to confirmed Orders without prior written notification and Buyer consent. Price escalation terms, where applicable, will be stated explicitly in the quotation or commercial agreement.

3.5 Delivery and Lead Time

Lead time is confirmed at Order placement. XHMAG will provide production progress updates upon request and proactively notify the Buyer of any anticipated delay exceeding 3 working days. Risk of loss transfers to the Buyer upon handover to the designated carrier. XHMAG is not liable for delays caused by carrier, customs clearance, force majeure, or Buyer-side specification changes.

3.6 Inspection and Acceptance

Each shipment is accompanied by a complete quality documentation package including:

  • Magnetic performance report (Br, Hcj, (BH)max)
  • CMM dimensional inspection report
  • Salt spray test report and coating performance data
  • Certificate of Analysis (COA) and Certificate of Conformance (COC)

The Buyer must inspect Products within 14 calendar days of receipt and notify XHMAG in writing of any non-conformance. Claims submitted after this period will not be accepted unless the defect was latent and not reasonably discoverable upon inspection.

3.7 Order Cancellation

Orders may not be cancelled after production has commenced without XHMAG's written consent. In the event of Buyer-initiated cancellation after production commencement, the deposit is non-refundable and the Buyer may be liable for additional costs incurred up to the point of cancellation. Cancellation of sample orders is not permitted once production has begun.

3.8 Export Compliance

Products not containing Dy/Tb are exported under standard procedure with no additional licensing requirement. Products containing Dy/Tb are subject to China's dual-use item export licensing regime; current processing time is approximately 2 months. The Buyer acknowledges this distinction and accepts that lead times for Dy/Tb-containing grades include licensing processing time. XHMAG will advise on applicable export classification at the quotation stage.

Partnership and Cooperation Terms

4.1 Authorized Distributors and Agents

Parties wishing to act as authorized distributors, sourcing agents, or regional representatives of XHMAG must enter into a separate written distribution or agency agreement. No party may represent itself as an authorized XHMAG representative without such an agreement in force. XHMAG reserves the right to terminate any unauthorized representation arrangement without liability.

4.2 Confidentiality

Both parties agree to maintain the confidentiality of Confidential Information disclosed in connection with any business relationship. Confidential Information shall not be disclosed to third parties without prior written consent, and shall be used solely for the purpose for which it was disclosed. This obligation survives termination of the commercial relationship for a period of three (3) years.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without reference to the Confidential Information; or (d) is required to be disclosed by applicable law or regulatory authority.

4.3 Non-Solicitation

During the term of any commercial relationship and for twelve (12) months thereafter, neither party shall directly solicit the other party's employees, contractors, or key personnel without prior written consent.

4.4 Technical Collaboration

Where XHMAG provides technical consultation, grade recommendations, or application engineering support, such assistance is provided in good faith based on information supplied by the Buyer. The Buyer retains full responsibility for validating the suitability of recommended grades and specifications for their specific application. Technical collaboration does not constitute a warranty of fitness for purpose.

Intellectual Property

5.1 XHMAG Ownership

All content on the Website, including but not limited to text, graphics, technical data, datasheets, logos, trademarks, and software, is the property of XHMAG or its licensors and is protected by applicable intellectual property laws. No license to use XHMAG's intellectual property is granted except as expressly stated in these Terms.

5.2 Custom Tooling and Designs

Where XHMAG develops custom tooling, fixtures, or manufacturing processes for a specific Buyer's Order, ownership of such tooling remains with XHMAG unless otherwise agreed in writing. Buyer-supplied designs and drawings remain the property of the Buyer; XHMAG will not use such designs for third-party production without
